1. Agreement
These Terms of Service ("Terms") constitute a legal agreement between you ("Customer", "you") and SFADDON India LLP ("SFADDON", "we", "us") for the use of SFADDON, our enterprise software platform for SAP SuccessFactors.
By accessing or using SFADDON, you confirm that you have the authority to bind your organisation to these Terms and that you agree to comply with them.
2. Service Description
SFADDON provides software services for SAP SuccessFactors, which may include:
- Connecting to your SAP SuccessFactors tenant via its API using credentials you provide
- Processing the data required to deliver the product's functionality
- Reporting, notifications, and audit of activity within the service
- AI-powered insights and analysis where applicable
- Scheduled reports and summaries
SFADDON accesses your SAP SuccessFactors tenant only as required to deliver its functionality, using the permissions you grant.
3. Account Responsibilities
As a Customer, you are responsible for:
- Providing accurate and complete registration information
- Maintaining the confidentiality of your account credentials and MFA devices
- Ensuring you have authorisation from your organisation to connect SFADDON to your SAP SuccessFactors tenant
- Configuring API user credentials with the appropriate permissions in SAP SuccessFactors
- Notifying us immediately of any unauthorised access to your account
- Ensuring all users added to your SFADDON account are authorised by your organisation
4. Acceptable Use
You agree not to:
- Use SFADDON to access SAP SuccessFactors tenants you are not authorised to use
- Attempt to reverse-engineer, decompile, or extract the platform's algorithms or any proprietary logic
- Use the service to circumvent SAP SuccessFactors security controls or licensing restrictions
- Share reports or service data publicly without your organisation's written approval
- Use automated tools to scrape, download, or replicate SFADDON data or functionality
- Attempt to access other customers' data or exceed your subscription plan limits
5. Subscription Plans and Billing
SFADDON is offered on a subscription basis across multiple plans. Each plan includes specific limits on usage, data retention, user seats, and available features as described on our pricing page.
New customers may receive an evaluation period as described at onboarding. After the evaluation period, you may select any plan that meets your needs. Subscriptions renew automatically at the end of each billing cycle unless cancelled with at least 30 days' written notice.
Refunds are available within 30 days of billing on a pro-rated basis for annual plans; monthly plans follow standard B2B cancellation terms.
Pricing is subject to change with 60 days' advance notice. Changes to pricing will not affect your current billing cycle.
6. Data Handling
SFADDON is designed with a minimal data retention approach. We access your SAP SuccessFactors data via API, process it to deliver the service, and retain only what the service requires. We do not store employee personal data, performance ratings, compensation data, or other sensitive HR information beyond what the service strictly requires.

7. Service Availability
We target high availability for SFADDON but do not guarantee uninterrupted service. Scheduled maintenance will be communicated at least 24 hours in advance via email to your administrator accounts.
The availability and response times of SAP SuccessFactors APIs are outside our control. API rate limits, maintenance windows, or outages on the SAP side may temporarily affect the service. SFADDON will automatically retry failed operations where applicable.
8. Intellectual Property
SFADDON — including its algorithms, methodology, user interface, and all associated documentation — is the intellectual property of SFADDON India LLP. All rights reserved.
SAP, SuccessFactors, and related marks are trademarks of SAP SE. SFADDON is an independent product developed by SFADDON India LLP and is not affiliated with, endorsed by, or sponsored by SAP SE.
9. Limitation of Liability
SFADDON provides outputs and recommendations based on automated processing. These outputs are advisory in nature and should be validated by qualified SAP SuccessFactors administrators before any configuration changes are made.
SFADDON shall not be liable for any direct, indirect, incidental, consequential, or special damages arising from your use of SFADDON or from actions taken based on SFADDON outputs.
To the maximum extent permitted by applicable law, SFADDON's total aggregate liability under these Terms shall not exceed the total fees paid by you to SFADDON in the twelve (12) months immediately preceding the event giving rise to the claim.
10. Confidentiality
Each party agrees to maintain the confidentiality of the other party's proprietary information. Your SAP SuccessFactors connection credentials and service data are treated as your confidential information. Our methodology and product roadmap are our confidential information.
Neither party will disclose the other's confidential information to any third party without prior written consent, except as required by law or as necessary to provide the service (e.g., infrastructure providers bound by their own confidentiality obligations).
11. Termination
Either party may terminate this agreement with 30 days' written notice to the other party.
SFADDON reserves the right to suspend or terminate your access immediately if you violate these Terms, the Acceptable Use policy, or if your use of the service poses a security risk to other customers.
Upon termination, your access to SFADDON will be revoked. All stored data — including account information, service data, and encrypted credentials — will be permanently and irrecoverably deleted within 30 days of termination.
12. Changes to These Terms
SFADDON reserves the right to modify these Terms. Material changes will be communicated via email to your registered administrator address at least 30 days before the effective date. Continued use of SFADDON after the effective date constitutes acceptance of the modified Terms.
If you do not agree with the modified Terms, you may terminate your subscription before the effective date and receive a pro-rated refund for any unused portion of your current billing period.
13. Governing Law and Disputes
These Terms are governed by and construed in accordance with the laws of India. Any disputes arising from or relating to these Terms or your use of SFADDON shall be subject to the exclusive jurisdiction of the courts in Pune, Maharashtra, India.
Before initiating any legal proceedings, both parties agree to attempt resolution through good-faith negotiation for a period of at least 30 days.

Commercial Terms (SFADDON India LLP)
The following commercial terms supplement the terms above for customers contracting with SFADDON India LLP. Where they conflict on payment, refund, cancellation, or governing-law matters, these commercial terms control.
Payment terms
Paid plans are billed monthly or annually per tenant. All prices are stated on the pricing page. Invoices are issued at the start of each billing period. Subscriptions auto-renew unless cancelled before the renewal date.
Free trial
A 60-day Enterprise trial is available, with full access to every module, rule, and feature. No credit card is required to start a trial. At the end of the trial period you will need to select a paid plan to continue using the service.
Cancellation & refunds
Monthly subscriptions may be cancelled at any time; cancellation takes effect at the end of the current billing cycle. Annual subscriptions cancelled within 30 days of purchase are eligible for a pro-rata refund of the unused portion. Service credits, where applicable, are governed by the subscription agreement.
Termination
Either party may terminate a subscription for material breach that is not cured within 30 days of written notice, or immediately for insolvency. Upon termination, access to the service ceases and customer data is deleted per the timeline set out in the Privacy Policy and Data Processing Agreement.
Governing law
These Commercial Terms are governed by the laws of India. Any disputes arising under or in connection with them are subject to the exclusive jurisdiction of the courts of Pune, Maharashtra, India.
